Terms and Conditions

1. Introduction and Acceptance
These General Terms and Conditions ("Terms") govern your access to and use of the website dxh.be and any interactive tools, content, or services made available through it (together, the "Site"). The Site is operated by DxH Consulting ("DxH", "we", "us", or "our"), established in Belgium.
By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not access or use the Site.
2. Definitions
- Site: the dxh.be website and any pages, features, or tools made available through it.
- Tools: the interactive features made available on the Site that accept user input and return a generated result (including AI-assisted analyses, classifications, and reports).
- User Input: any text, file, or other content you submit, paste, upload, or otherwise provide through the Site.
- Output: any analysis, classification, summary, report, or other result generated by a Tool in response to your User Input.
- You or User: any natural or legal person accessing or using the Site.
3. About DxH
DxH Consulting is a consultancy established in Belgium focused on AI strategy, governance, adoption, and delivery. The Site presents our services and hosts a number of free, informational tools intended for professional audiences. Use of the Site does not create any client, advisory, fiduciary, or other professional relationship with DxH. Consulting engagements are governed by a separate written agreement.
4. Eligibility
The Site is directed at professionals and organisations. By using the Site, you confirm that you are at least 18 years old and that, where you act on behalf of an organisation, you have the authority to bind that organisation to these Terms.
5. Use of the Site
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Site for lawful purposes and in accordance with these Terms. We may modify, suspend, or discontinue all or any part of the Site (including any Tool) at any time, without notice and without liability.
You are responsible for ensuring that your access to and use of the Site complies with all applicable laws and regulations in your jurisdiction.
6. Use of the Interactive Tools
The Tools are provided free of charge and for informational and educational purposes only. Outputs are generated by automated systems (including third-party AI models) on the basis of the User Input you provide and the assumptions and methods built into the relevant Tool.
Outputs do not constitute legal, regulatory, compliance, financial, tax, accounting, medical, or other professional advice, and must not be relied upon as such. Outputs may be incomplete, inaccurate, or out of date. You are solely responsible for any decision or action taken on the basis of an Output, and you should seek qualified professional advice before acting on it.
You acknowledge that AI-generated content can be probabilistic in nature and may produce results that differ across sessions, even for similar inputs. We do not guarantee that any Output is accurate, complete, fit for a particular purpose, or compliant with any specific legal or regulatory framework.
7. User Input and Content
You retain ownership of any User Input you submit. By submitting User Input, you grant us a worldwide, royalty-free, non-exclusive licence to process that User Input for the limited purpose of operating the Site, generating the corresponding Output, and improving, securing, and maintaining the Site.
You represent and warrant that: (a) you have the right to submit the User Input; (b) submitting the User Input and our processing of it under these Terms will not infringe the rights of any third party, including intellectual property rights and data-protection rights; and (c) the User Input does not contain content that is unlawful, defamatory, malicious, or otherwise prohibited under these Terms.
You are responsible for the User Input you submit. We recommend that you do not submit sensitive personal data, confidential business information, or any data you are not authorised to disclose. Information on how we process personal data is set out in our Privacy Policy.
8. Acceptable Use
When using the Site, you agree not to:
- use the Site or any Tool in violation of any applicable law or regulation, or in a manner that infringes the rights of any third party;
- submit User Input that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;
- submit personal data of third parties without a lawful basis to do so;
- upload or transmit any virus, worm, malicious code, or other material that could damage or interfere with the operation of the Site or any third-party system;
- attempt to gain unauthorised access to the Site, its underlying infrastructure, or any related systems or networks;
- scrape, harvest, mirror, or otherwise systematically extract data from the Site without our prior written permission;
- reverse engineer, decompile, or otherwise attempt to derive the source code, models, or prompts underlying the Tools;
- use the Site or any Output to train, fine-tune, or evaluate competing AI models or services;
- use the Site or any Tool to make decisions that have legal or similarly significant effects on individuals without appropriate human review;
- impose an unreasonable or disproportionately large load on the Site or its infrastructure, including through automated requests that are not expressly authorised.
We may, at our sole discretion, suspend or terminate your access to the Site if we believe you have breached these Terms.
9. Intellectual Property
The Site, including its design, text, graphics, logos, code, structure, and the Tools themselves (excluding your User Input and the Outputs generated for you), is owned by DxH or its licensors and is protected by intellectual property laws. Nothing in these Terms transfers any intellectual property rights in the Site to you.
As between you and DxH, and to the extent permitted by law, you may use the Outputs generated for you for your own internal business or professional purposes, subject to these Terms. You may not resell, sublicense, or commercialise the Outputs as a stand-alone product. You acknowledge that Outputs may not be unique to you and that similar Outputs may be generated for other users from similar inputs.
All trademarks, service marks, and trade names displayed on the Site are the property of their respective owners.
10. Third-Party Services and Links
The Tools rely on third-party services, including AI providers (such as Anthropic, OpenAI, or Google) and hosting and analytics providers. Your use of the Tools is also subject to the relevant third-party terms and policies. We do not control, and are not responsible for, the practices of those third parties.
The Site may contain links to third-party websites. Such links are provided for convenience only. We do not endorse and are not responsible for the content, products, or services of any linked site.
11. Privacy and Data Protection
Our processing of personal data in connection with the Site is described in our Privacy Policy, which forms an integral part of these Terms. By using the Site, you acknowledge that you have read and understood the Privacy Policy.
12. Disclaimers
To the maximum extent permitted by applicable law, the Site and the Tools are provided "as is" and "as available", without warranty of any kind, whether express, implied, statutory, or otherwise. DxH disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted or error-free operation.
Without limiting the foregoing, we do not warrant that: (a) the Site will meet your requirements; (b) the Site will be available on an uninterrupted, secure, or error-free basis; (c) any Output will be accurate, complete, or reliable; or (d) any defects in the Site will be corrected.
13. Limitation of Liability
To the maximum extent permitted by applicable law, DxH and its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your access to or use of the Site or any Tool, even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, gross negligence, or wilful misconduct.
14. Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless DxH and its directors, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your User Input; (b) your use of the Site or any Output in breach of these Terms; or (c) your violation of any applicable law or any rights of a third party.
15. Modifications to the Site and Terms
We may modify the Site, the Tools, or these Terms at any time. If we make material changes to these Terms, we will update the effective date at the top of this page and, where appropriate, provide additional notice on the Site. Your continued use of the Site after the changes take effect constitutes your acceptance of the revised Terms.
16. Suspension and Termination
We may suspend, restrict, or terminate your access to the Site or any Tool at any time, with or without notice, including if we believe you have breached these Terms or applicable law, or if we decide to discontinue all or part of the Site. Upon termination, the provisions of these Terms that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnification, and governing law) will continue to apply.
17. Governing Law and Jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of Belgium, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the competent courts of Brussels, Belgium, without prejudice to any mandatory consumer-protection rules that may apply.
18. Miscellaneous
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid or unenforceable provision will be replaced by a valid provision that most closely reflects the original intent.
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. You may not assign or transfer these Terms, in whole or in part, without our prior written consent. We may assign these Terms freely.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and DxH regarding the Site and supersede any prior agreements relating to that subject matter.
